Article 1. Preamble and Acceptance
1.1 These Terms of Service (these “Terms”) govern the registration for, access to and use of Thailand Public Wire (the “Service”), which is operated by APOC Co., Ltd. (株式会社APOC) (the “Company”).
1.2 These Terms apply to both Publishers and Media Partners, and to every individual who accesses the Service on their behalf.
1.3 By registering for, accessing or using the Service, or by checking a box or clicking a button indicating acceptance, you agree to be bound by these Terms and by the Privacy Policy, which forms an integral part of these Terms. If you do not agree, you must not register for or use the Service.
1.4 Where you accept these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation, and “you” refers to that organisation.
Article 2. Definitions
2.1 “Company” means APOC Co., Ltd. (株式会社APOC), a company incorporated under the laws of Japan.
2.2 “Service” means Thailand Public Wire, including its website, applications, databases and all related features.
2.3 “APOC Wire” means the Company’s press release distribution business and related services, of which the Service forms part.
2.4 “User” means a Publisher or a Media Partner, and any individual acting on their behalf.
2.5 “Publisher” means a corporation, organisation, sole proprietor or individual that registers with the Service in order to submit and distribute Press Releases.
2.6 “Media Partner” means a news outlet, publication, broadcaster, online medium or other media organisation whose registration has been approved by the Company.
2.7 “Journalist” means an individual reporter, editor, writer or other person affiliated with a Media Partner and registered with, or identified to, the Service by that Media Partner.
2.8 “Press Release” means any text, headline, subtitle, body, image, caption, file or other material submitted to the Service by a Publisher.
2.9 “Published Content” means any Press Release that has been made publicly available on the Service.
2.10 “Media-Only Information” means information that a Publisher designates as accessible only to Media Partners.
2.11 “Media Kit” means files that a Publisher designates as downloadable only by Media Partners.
2.12 “Restricted Materials” means Media-Only Information and Media Kits, collectively.
2.13 “Media Directory” means the publicly accessible list of Media Partners maintained on the Service.
Article 3. Nature of the Service; No Fee; No Public Status
3.1 The Service is provided free of charge. No registration fee, distribution fee, subscription fee or other consideration is payable by any User to the Company for the Service.
3.2 The Service is provided free of charge because the Company considers that the opportunity for an organisation’s announcement to reach the public should not be determined by that organisation’s budget. This is the Company’s own editorial and commercial policy and does not arise from, and does not purport to arise from, any public mandate, subsidy or appointment.
3.3 The Service is operated by the Company as a private commercial undertaking. The Company is not a government agency, a public broadcaster, a public institution, a non-profit organisation or a regulated news agency, and the Service is not established, licensed, funded, endorsed by, or affiliated with any government or public body of Thailand, Japan or any other jurisdiction.
3.4 The word “Public” in the name of the Service refers to public relations and to the public availability of the information distributed through the Service. It does not denote public ownership, public funding or any public or official status.
3.5 The Company derives indirect commercial benefit from the Service, including by promoting the Company’s other products and services and by using Users as references and case studies as set out in Article 12. Each User acknowledges this and agrees that the Service being free of charge does not create any fiduciary, agency, partnership, joint venture or employment relationship between the User and the Company.
3.6 The Company does not guarantee that any Press Release will be read, selected, reported on, republished or otherwise used by any Media Partner or any other media organisation.
3.7 The Company may in future introduce optional paid features. Any such feature will be optional and will be presented separately, and does not alter the free nature of the Service described in Article 3.1.
Article 4. Registration and Eligibility
4.1 A User shall provide accurate, current and complete information when registering, and shall promptly update such information if it changes.
4.2 The individual completing a registration represents and warrants that they are at least eighteen (18) years of age and, where registering on behalf of an organisation, that they have authority to bind that organisation.
4.3 The Company may approve or reject any registration at its sole discretion, and is under no obligation to state its reasons.
4.4 Registration as a Media Partner is subject to verification. The Company may request evidence of the outlet’s publication history, ownership, editorial operation, circulation or audience, or of the applicant’s affiliation with the outlet, and may reject an application or revoke an approval where such evidence is not provided or is, in the Company’s judgement, unsatisfactory.
4.5 The Company may re-verify a Media Partner at any time, and may suspend access pending re-verification.
4.6 Registration does not create any obligation on the Company to publish, distribute or deliver any material.
Article 5. Accounts
5.1 A User is responsible for maintaining the confidentiality of its account credentials and shall not disclose, share, sell, lend or transfer them to any third party.
5.2 A User is responsible for all activity conducted through its account, whether or not authorised by it.
5.3 A User shall notify the Company immediately upon becoming aware of any unauthorised use of its account.
5.4 A User shall maintain only one account per organisation unless the Company has approved otherwise in writing.
5.5 Accounts are not transferable. Where a User undergoes a change of control, merger or transfer of business, it shall notify the Company, and the Company may require re-registration or re-verification.
Article 6. Press Releases: Publisher Obligations
6.1 The Publisher is solely responsible for each Press Release it submits, including its accuracy, legality, completeness and rights clearance.
6.2 The Publisher shall ensure that each Press Release: (a) is factually accurate and not misleading; (b) relates to a genuine announcement by the Publisher, and where submitted on behalf of a third party, discloses that relationship; and (c) complies with all applicable laws of Thailand, Japan and any other relevant jurisdiction, including without limitation laws relating to advertising and fair trade, labelling, financial promotion, securities disclosure, healthcare, pharmaceuticals, food, cosmetics and consumer protection.
6.3 Each Press Release shall comply with the format requirements of the Service, including: a title, a subtitle and a body; one (1) thumbnail image; and no more than ten (10) images within the body. A caption is mandatory for every image, including the thumbnail. The Company may reject or unpublish any Press Release that does not meet these requirements.
6.4 The Publisher represents and warrants that it owns, or has obtained, all rights, licences, permissions and consents necessary for the submission, publication, distribution and use of each Press Release under these Terms, including without limitation copyright, trademark rights, design rights, the portrait and publicity rights of every person depicted, and all consents required under applicable personal data protection laws.
6.5 The Publisher shall not submit any Press Release that: infringes the rights of any third party; is defamatory, harassing or discriminatory; contains false, deceptive or unverifiable claims; promotes illegal goods or services; contains malware or malicious code; contains sexually explicit content; concerns matters that the Company designates as prohibited categories; or is submitted primarily for the purpose of obtaining backlinks, manipulating search engine rankings or generating automated content, rather than making a genuine announcement.
6.6 Where a Publisher requests an embargo, it shall state the embargo date and time clearly and prominently. The Company does not guarantee that any Media Partner or third party will observe an embargo, and shall have no liability for any failure to do so.
Article 7. Licence Granted to the Company
7.1 By submitting a Press Release, the Publisher grants the Company a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable and transferable licence to host, store, reproduce, cache, adapt (including resizing, reformatting, excerpting and machine translation), publish, display, distribute, syndicate and otherwise use the Press Release for the purposes of operating, maintaining and promoting the Service and APOC Wire.
7.2 The Publisher acknowledges and agrees that Published Content is made publicly available on the internet, and that the Company permits, and takes no steps to prevent, access to Published Content by search engines, news aggregators, archiving services and automated crawlers, including crawlers operated by artificial intelligence and large language model providers. Published Content may accordingly be indexed, cached, reproduced in search results and in AI-generated answers, summarised, translated and quoted by such third parties. The Company has no control over, and accepts no responsibility for, the acts of such third parties.
7.3 The licence in Article 7.1 continues in respect of Published Content after the termination of the Publisher’s account, so that the Service may maintain a continuous and reliable public archive and so that third-party links and citations to Published Content remain valid. Article 14.4 applies.
7.4 The Publisher retains ownership of the intellectual property rights in its Press Releases. Nothing in this Article transfers ownership.
Article 8. Editorial Discretion
8.1 The Company is under no obligation to publish any Press Release.
8.2 The Company may, at its sole discretion and without liability, reject, delay, edit for formatting and typography, categorise, re-categorise, add or amend metadata for, unpublish, remove or archive any Press Release, with or without prior notice and with or without stating reasons.
8.3 The Company may display, in connection with any Published Content, a notice indicating that the material was submitted by the Publisher and does not constitute the Company’s own reporting or an endorsement by the Company.
8.4 Any review, screening or approval performed by the Company is for the administration of the Service only. It does not constitute verification, fact-checking or endorsement of any Press Release, and shall not be relied upon as such by any person.
Article 9. The Media Directory
9.1 A Media Partner agrees that, upon approval of its registration, the following information will be published on the Media Directory and made accessible to the public, to search engines and to automated crawlers: the outlet name; the outlet’s website URL; the outlet’s coverage area and subject areas; and, where provided by the Media Partner, the outlet’s logo and a short description.
9.2 The following will not be published on the Media Directory: the Media Partner’s individual contact details (including email addresses, telephone numbers, messaging identifiers and postal addresses) and the names of individual Journalists. Such information is held by the Company and used in accordance with the Privacy Policy and with Articles 11 and 12.
9.3 The Media Partner represents and warrants that it is entitled to permit the publication described in Article 9.1, including in respect of its name, URL and logo.
9.4 The Company may amend, suspend or remove a Media Partner’s entry in the Media Directory at any time, including where the Media Partner is inactive, cannot be re-verified, has ceased publication, or has breached these Terms.
9.5 Inclusion in the Media Directory does not constitute an endorsement by the Company of the Media Partner, its editorial stance or its reporting, and does not constitute an endorsement by the Media Partner of the Company, the Service or any Publisher.
Article 10. Restricted Materials
10.1 Access to Restricted Materials is limited to Media Partners holding an approved and active account, and to the Company.
10.2 A Media Partner shall use Restricted Materials solely for the purpose of evaluating, preparing and producing news reporting or editorial content.
10.3 A Media Partner shall not: (a) redistribute, resell, sublicense, or publicly post Restricted Materials as such; (b) share its account credentials, or otherwise enable access to Restricted Materials by any person who is not authorised; (c) use Restricted Materials for advertising, promotional or commercial purposes unrelated to news reporting; or (d) use any automated means to bulk-download or systematically extract Restricted Materials.
10.4 Restricted Materials are supplied by the Publisher, not by the Company. Any licence to use images, footage or other materials contained in a Media Kit is granted by the Publisher on the terms stated by the Publisher. The Media Partner shall deal directly with the relevant Publisher in respect of any question of rights, permissions, scope of use or accuracy.
10.5 The Company makes no representation or warranty as to the accuracy, completeness, currency or rights clearance of any Restricted Materials.
10.6 Where a Publisher designates Restricted Materials as confidential or subject to an embargo, the Media Partner shall observe that designation.
10.7 The Company may log, monitor and audit access to and downloads of Restricted Materials, and may suspend access where it reasonably suspects misuse.
Article 11. Direct Delivery Feature (Planned)
11.1 The Company plans to implement a feature (the “Direct Delivery Feature”) by which a Publisher may request that a Press Release, Restricted Materials or related information be delivered directly to one or more Media Partners selected from the Media Directory.
11.2 Each Media Partner consents to the operation of the Direct Delivery Feature and to receiving such deliveries at the contact details registered with the Service. This consent is given as part of, and as a condition of, the Media Partner’s registration.
11.3 The Media Partner’s individual contact details will not be disclosed to Publishers. The Company will route deliveries on the Publisher’s behalf. The Company may inform the Publisher of the fact that a delivery was made and, where technically available, of aggregate or individual delivery status such as whether a message was opened.
11.4 The Company will give Media Partners notice by email or through the Service before the Direct Delivery Feature is launched, together with a description of its operation.
11.5 A Media Partner may opt out of the Direct Delivery Feature at any time, in whole or by category, subject area or Publisher, through its account settings or by contacting the Company. Opting out shall not affect the Media Partner’s other rights under these Terms, its inclusion in the Media Directory, or its access to Restricted Materials.
11.6 The Company may set and vary limits on the volume, frequency, format and content of deliveries, may require Publishers to meet conditions before using the Direct Delivery Feature, and may suspend or discontinue the Direct Delivery Feature or any Publisher’s access to it at any time.
11.7 Deliveries made through the Direct Delivery Feature contain information submitted by Publishers. The Company does not endorse, verify or accept responsibility for such information. Any relationship arising between a Publisher and a Media Partner as a result of a delivery is a matter between them alone.
11.8 A Media Partner receiving a delivery is under no obligation to read, respond to, report on or acknowledge it.
Article 12. Promotional and Case Study Use
12.1 Licence. Each User grants the Company a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual, irrevocable, sublicensable and transferable licence to use, reproduce, publish, display, distribute, translate and adapt the following, for the purposes set out in Article 12.3:
(a) the User’s name, trade name, brand name, outlet name, logos, marks and other identifiers;
(b) in the case of a Media Partner, the names and job titles of Journalists affiliated with it that are registered with, or identified to, the Service;
(c) Published Content, and screenshots or screen recordings of the Service displaying the same; and
(d) factual information regarding the User’s use of the Service, such as the number of Press Releases distributed, the categories used, and the period of use.
12.2 Designations. The Company may refer to and describe: (a) a Publisher as a “Client Company” (利用企業 / 利用企業); (b) a Media Partner as “Participating Media” (利用メディア / 合作媒體); and (c) a Journalist as a “Participating Journalist” (利用ジャーナリスト / 合作記者).
12.3 Purposes and media. The licence in Article 12.1 is granted for the purpose of describing, promoting, marketing and evidencing the Service, APOC Wire and the Company’s other products and services, and may be exercised in any medium now known or later devised, including the Company’s websites, sales and marketing materials, presentations and proposals, case studies, press releases, social media accounts, advertising, publications, award and accreditation submissions, and materials provided to investors, lenders and business partners.
12.4 No prior approval; no compensation. The Company is not required to obtain the User’s prior approval for any individual use permitted by this Article. No fee, royalty, share of revenue or other compensation is or shall become payable to the User in respect of any such use.
12.5 Factual use only; no implied endorsement. Use under this Article shall be limited to a factual statement or depiction of the User’s registration with, use of, or participation in the Service. The Company shall not state or imply that the User endorses or recommends the Company’s other products or services beyond such factual use, and shall not attribute any statement, quotation or testimonial to the User without the User’s separate written consent.
12.6 Journalist consents. A Media Partner represents and warrants that it has obtained, and will maintain for so long as the relevant information remains registered, all consents and authorisations necessary under applicable law (including personal data protection laws) from each Journalist whose name, job title or image it registers with, or identifies to, the Service, for the uses set out in this Article. The Media Partner shall indemnify and hold the Company harmless against any claim, loss, liability or expense arising out of the absence, invalidity or withdrawal of any such consent.
12.7 Withdrawal is prospective only. A User may at any time request in writing that the Company cease using the User’s name, marks and other identifiers in materials created after the date of the request, and the Company shall use commercially reasonable efforts to comply within a reasonable period. However, the Company shall be under no obligation to withdraw, recall, amend, delete or destroy any materials that have already been produced, published, printed, broadcast, distributed or made available, any copies of such materials held by third parties, or any archived, cached, indexed or republished versions of such materials.
12.8 Survival. This Article survives the expiry or termination of these Terms and the deletion, suspension or termination of the User’s account for any reason.
12.9 Acknowledgement of consideration. Each User acknowledges and agrees that the licence granted under this Article forms part of the consideration for the Company providing the Service free of charge, that the Company has relied on this Article in deciding to provide the Service free of charge, and that the Company would not provide the Service free of charge in the absence of this Article.
Article 13. Prohibited Conduct
13.1 A User shall not, and shall not permit any third party to: (a) use the Service in violation of any applicable law or regulation; (b) impersonate any person or organisation, or misrepresent its affiliation; (c) register a media outlet that does not genuinely exist or does not genuinely engage in editorial activity; (d) interfere with or disrupt the Service, its servers or networks; (e) attempt to gain unauthorised access to any part of the Service, including Restricted Materials to which the User is not entitled; (f) probe, scan or test the vulnerability of the Service without the Company’s prior written consent; (g) scrape, crawl or systematically extract data from the Service other than by means of a publicly documented interface or a conventional search engine crawler acting in accordance with the Company’s robots directives; (h) reverse engineer, decompile or disassemble any part of the Service; (i) use the Service to distribute unsolicited commercial communications; (j) resell, sublicense or commercially exploit access to the Service; or (k) use the Service in any way that damages or is likely to damage the reputation of the Company or the Service.
13.2 The Company may investigate any suspected breach of this Article and may take any action it considers appropriate, including suspension, termination, removal of content, and disclosure to law enforcement or other authorities.
Article 14. Suspension, Termination and the Public Archive
14.1 A User may close its account at any time through the Service or by contacting the Company.
14.2 The Company may suspend or terminate a User’s account, or restrict its access to any part of the Service, at any time: (a) where the User has breached these Terms; (b) where the Company reasonably suspects fraud, abuse or unlawful conduct; (c) where required by law or by a competent authority; or (d) for any other reason, upon reasonable prior notice.
14.3 Upon termination, the User’s right to access the Service ceases. Articles 7, 12, 14.4, 16, 17, 18, 21 and 23 survive termination.
14.4 The Public Archive. The Company may, but shall not be obliged to, continue to make Published Content publicly available after the termination of the relevant Publisher’s account, in order to maintain the integrity and continuity of the public archive and the validity of third-party links to and citations of Published Content. A Publisher may request the removal of specific Published Content, and the Company will consider any such request in good faith having regard to the public interest in the continuity of the archive, but the Company is not obliged to comply except to the extent required by applicable law. Where the Company removes Published Content, it has no obligation and no ability to remove copies, caches, indexes or reproductions held by third parties.
Article 15. Disclaimer of Warranties
15.1 The Service is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, accuracy or non-infringement.
15.2 The Company does not warrant that the Service will be uninterrupted, timely, secure or error-free, or that any defect will be corrected.
15.3 The Company gives no warranty and makes no representation that any Press Release will be published, indexed by any search engine, ranked in any position, delivered to, read by, or reported on by any Media Partner or other media organisation, or that it will generate any traffic, coverage, enquiry or business outcome.
15.4 The Company is not a party to, and accepts no responsibility for, any relationship, agreement, communication or dispute between a Publisher and a Media Partner, or between a User and any third party.
15.5 Press Releases and Restricted Materials are user-generated content. The Company does not create, verify or endorse them, and disclaims all liability arising from them to the fullest extent permitted by law.
Article 16. Limitation of Liability
16.1 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, data, goodwill, reputation, business opportunity or anticipated savings, arising out of or in connection with the Service or these Terms, whether based in contract, tort, negligence, strict liability or otherwise, and whether or not the Company has been advised of the possibility of such damages.
16.2 To the maximum extent permitted by applicable law, the Company’s aggregate liability to any User for all claims arising out of or in connection with the Service or these Terms shall not exceed the greater of (a) ten thousand Japanese yen (JPY 10,000) and (b) the total amount actually paid by that User to the Company in respect of the Service during the twelve (12) months preceding the event giving rise to the claim. Users acknowledge that, the Service being provided free of charge, the amount under (b) is expected to be zero.
16.3 Nothing in these Terms excludes or limits the Company’s liability for wilful misconduct or gross negligence, or any other liability that cannot lawfully be excluded or limited.
16.4 The limitations in this Article reflect the allocation of risk between the parties and are a fundamental element of the basis of the bargain, having regard to the fact that the Service is provided free of charge.
Article 17. Indemnification
17.1 Each User shall indemnify, defend and hold harmless the Company, its officers, employees, agents, affiliates and licensees against any claim, demand, action, proceeding, loss, liability, damage, fine, cost and expense (including reasonable legal fees) arising out of or in connection with: (a) any Press Release, Restricted Material or other content submitted by the User; (b) the User’s breach of these Terms or of any representation or warranty given under them; (c) the User’s violation of any applicable law or of the rights of any third party; (d) the absence, invalidity or withdrawal of any consent that the User was required to obtain, including under Articles 6.4 and 12.6; or (e) the User’s use of Restricted Materials.
17.2 The Company shall notify the User of any claim to which this Article applies and may, at its option, participate in the defence at its own expense. The User shall not settle any claim in a manner that imposes any obligation or admission on the Company without the Company’s prior written consent.
Article 18. Personal Data
18.1 The Company’s collection, use, storage, disclosure and international transfer of personal data in connection with the Service are described in the Privacy Policy, which forms an integral part of these Terms.
18.2 Each User shall comply with all applicable personal data protection laws in relation to any personal data it submits to, or receives through, the Service, including the Personal Data Protection Act B.E. 2562 (2019) of Thailand (PDPA) and the Act on the Protection of Personal Information of Japan (個人情報の保護に関する法律), as applicable.
18.3 Where a Media Partner registers or identifies a Journalist to the Service, it shall provide that Journalist with the information required by applicable law regarding the collection and use of their personal data, and shall obtain any consent required.
Article 19. Changes to the Service and to these Terms
19.1 The Company may modify, add to, suspend or discontinue the Service or any part of it at any time, with or without notice.
19.2 The Company may amend these Terms. Where an amendment is material, the Company will give at least fourteen (14) days’ prior notice by posting on the Service or by email to the address registered by the User.
19.3 Continued use of the Service after an amendment takes effect constitutes acceptance of the amended Terms. A User that does not accept an amendment shall cease using the Service and close its account before the amendment takes effect.
19.4 Amendments do not affect the licences granted under Articles 7 and 12 in respect of material submitted, or uses made, before the amendment takes effect.
Article 20. Assignment
20.1 A User may not assign, transfer or delegate any of its rights or obligations under these Terms without the Company’s prior written consent.
20.2 The Company may assign or transfer these Terms, in whole or in part, to any affiliate or to any successor in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of its assets or of the business to which the Service relates, and may sublicense or assign the licences granted under Articles 7 and 12 to any such person.
Article 21. Governing Law and Jurisdiction
21.1 These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes and claims, are governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws provisions.
21.2 The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or in connection with these Terms or the Service.
21.3 Article 21.2 does not deprive any User of the protection of any mandatory provision of the law of the User’s place of establishment or residence that cannot be derogated from by agreement.
Article 22. Language
22.1 These Terms are made in the English language. The Traditional Chinese and Japanese texts appearing beneath each English provision are translations provided for the convenience of Users only.
22.2 In the event of any inconsistency, ambiguity or conflict between the English text and any translation, the English text shall prevail, except to the extent that applicable mandatory law provides otherwise.
22.3 Notices, requests and communications to the Company may be given in English, Traditional Chinese or Japanese.
Article 23. Miscellaneous
23.1 Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed, and the remaining provisions shall continue in full force and effect.
23.2 No waiver. A failure or delay by the Company in exercising any right does not constitute a waiver of that right.
23.3 No agency. Nothing in these Terms creates any agency, partnership, joint venture, fiduciary or employment relationship between the Company and any User.
23.4 Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented within the Service, constitute the entire agreement between the Company and each User in relation to the Service, and supersede all prior understandings.
23.5 Force majeure. The Company is not liable for any failure or delay in performance caused by any event beyond its reasonable control, including natural disaster, epidemic, war, civil unrest, labour dispute, act of government, failure of telecommunications, hosting or third-party services, or cyber-attack.
23.6 Notices. Notices to a User may be given by email to the address registered by the User or by posting within the Service, and are deemed received on the day of sending or posting. Notices to the Company shall be given to the contact address below.
23.7 Headings. Headings are for convenience only and do not affect interpretation.
23.8 Third parties. No person other than the Company and the Users has any right to enforce any provision of these Terms, save that the Company’s officers, employees, affiliates and licensees may enforce Articles 12, 15, 16 and 17.

利用規約

第1条 前文および同意
1.1 本利用規約(以下「本規約」)は、株式会社APOC(以下「当社」)が運営する Thailand Public Wire(以下「本サービス」)への登録、アクセスおよび利用について定めるものです。
1.2 本規約は、配信事業者および登録メディアの双方、ならびにこれらのために本サービスにアクセスするすべての個人に適用されます。
1.3 本サービスへの登録、アクセスもしくは利用を行うこと、または同意を示すチェックボックスもしくはボタンを操作することにより、利用者は本規約および本規約の不可分の一部を構成するプライバシーポリシーに拘束されることに同意したものとみなされます。同意しない場合、本サービスに登録し、または利用してはなりません。
1.4 組織を代表して本規約に同意する場合、当該個人は、当該組織を拘束する権限を有することを表明し保証するものとし、本規約における「利用者」とは当該組織を指します。
第2条 定義
2.1 「当社」とは、日本法に基づき設立された株式会社APOCをいいます。
2.2 「本サービス」とは、Thailand Public Wireをいい、そのウェブサイト、アプリケーション、データベースおよび関連するすべての機能を含みます。
2.3 「APOC Wire」とは、当社のプレスリリース配信事業および関連サービスをいい、本サービスはその一部を構成します。
2.4 「利用者」とは、配信事業者または登録メディア、およびこれらのために行為する個人をいいます。
2.5 「配信事業者」とは、プレスリリースを投稿・配信する目的で本サービスに登録する法人、団体、個人事業主または個人をいいます。
2.6 「登録メディア」とは、当社が登録を承認した報道機関、出版社、放送局、オンラインメディアその他のメディア組織をいいます。
2.7 「ジャーナリスト」とは、登録メディアに所属し、当該登録メディアが本サービスに登録または通知した記者、編集者、ライターその他の個人をいいます。
2.8 「プレスリリース」とは、配信事業者が本サービスに投稿する文章、タイトル、サブタイトル、本文、画像、キャプション、ファイルその他の素材をいいます。
2.9 「公開コンテンツ」とは、本サービス上で公開されたプレスリリースをいいます。
2.10 「メディア限定情報」とは、配信事業者が登録メディアのみ閲覧可能と指定した情報をいいます。
2.11 「メディアキット」とは、配信事業者が登録メディアのみダウンロード可能と指定したファイルをいいます。
2.12 「限定素材」とは、メディア限定情報およびメディアキットを総称していいます。
2.13 「メディア一覧」とは、本サービス上で公開される登録メディアのリストをいいます。
第3条 本サービスの性質・無償性・公的機関でないことの明示
3.1 本サービスは無償で提供されます。利用者は、本サービスに関し、登録料、配信料、購読料その他の対価を当社に支払う必要はありません。
3.2 当社が本サービスを無償で提供するのは、組織の発表が社会に届く機会が当該組織の予算によって左右されるべきではないと当社が考えるためです。これは当社自身の編集方針および事業方針に基づくものであり、いかなる公的な負託、補助または指定に基づくものでもなく、またそのように主張するものでもありません。
3.3 本サービスは、当社が民間の営利事業として運営するものです。当社は、政府機関、公共放送、公的機関、非営利団体または規制対象の通信社のいずれでもなく、本サービスは、タイ、日本その他いかなる法域の政府または公的機関によって設立・許認可・出資・推奨されたものではなく、これらと提携するものでもありません。
3.4 本サービス名称に含まれる「Public」の語は、パブリック・リレーションズおよび本サービスを通じて配信される情報が公に利用可能であることを指すものであり、公有、公的資金または公的・官的地位を意味するものではありません。
3.5 当社は、当社の他の商品・サービスの宣伝、および第12条に定めるところにより利用者を実績・事例として使用することを含め、本サービスから間接的な事業上の利益を得ます。各利用者はこれを了解し、本サービスが無償であることが、利用者と当社との間に信託、代理、組合、合弁または雇用のいかなる関係も生じさせないことに同意します。
3.6 当社は、プレスリリースが登録メディアその他のメディア組織によって閲読、採用、報道、転載その他の方法で利用されることを保証しません。
3.7 当社は、将来において任意の有償機能を導入することがあります。当該機能は選択制であり別途提示されるものであって、第3.1条に定める本サービスの無償性に影響を与えません。
第4条 登録および資格
4.1 利用者は、登録に際して正確、最新かつ完全な情報を提供し、変更が生じた場合は速やかに更新するものとします。
4.2 登録を行う個人は、満18歳以上であること、および組織を代表して登録する場合は当該組織を拘束する権限を有することを表明し保証します。
4.3 当社は、その単独の裁量により、登録を承認しまたは拒否することができ、理由を示す義務を負いません。
4.4 登録メディアとしての登録には審査を要します。当社は、当該媒体の発行実績、所有関係、編集体制、発行部数もしくは読者層に関する資料、または申請者の当該媒体への所属を示す資料の提出を求めることができ、これらが提出されない場合または当社の判断において十分でない場合には、申請を拒否し、または承認を取り消すことができます。
4.5 当社は、登録メディアに対していつでも再審査を行うことができ、再審査中はアクセスを停止することができます。
4.6 登録は、当社に対し、いかなる素材の公開、配信または送付の義務も生じさせません。
第5条 アカウント
5.1 利用者は、自己のアカウント認証情報の機密を保持する責任を負い、これを第三者に開示、共用、販売、貸与または譲渡してはなりません。
5.2 利用者は、自己のアカウントを通じて行われた一切の行為につき、それが自己の許諾に基づくか否かを問わず責任を負います。
5.3 利用者は、自己のアカウントの不正利用を認識した場合、直ちに当社に通知するものとします。
5.4 利用者は、当社が書面により別途承認した場合を除き、1組織につき1つのアカウントのみを保有するものとします。
5.5 アカウントは譲渡できません。利用者に支配権の変更、合併または事業譲渡が生じた場合、利用者は当社に通知するものとし、当社は再登録または再審査を求めることができます。
第6条 プレスリリース:配信事業者の義務
6.1 配信事業者は、自己が投稿する各プレスリリースについて、その正確性、適法性、完全性および権利処理を含め、単独で責任を負います。
6.2 配信事業者は、各プレスリリースが、(a) 事実に基づき正確であり誤認を生じさせないこと、(b) 配信事業者自身の真正な発表に係るものであり、第三者のために投稿する場合はその関係を開示すること、(c) 広告および公正取引、表示、金融商品の勧誘、証券情報開示、医療、医薬品、食品、化粧品ならびに消費者保護に関する法令を含む、タイ、日本その他関連する法域のすべての適用法令を遵守することを確保するものとします。
6.3 各プレスリリースは、タイトル、サブタイトルおよび本文、サムネイル画像1点、ならびに本文中の画像10点以内という本サービスの形式要件を満たすものとします。サムネイルを含むすべての画像について、キャプションの入力は必須です。 当社は、これらの要件を満たさないプレスリリースを拒否し、または非公開とすることができます。
6.4 配信事業者は、著作権、商標権、意匠権、被写体となるすべての者の肖像権およびパブリシティ権、ならびに適用される個人情報保護法令上必要なすべての同意を含め、本規約に基づく各プレスリリースの投稿、公開、配信および利用に必要なすべての権利、ライセンス、許諾および同意を保有し、または取得していることを表明し保証します。
6.5 配信事業者は、第三者の権利を侵害するもの、名誉毀損・嫌がらせ・差別に該当するもの、虚偽・欺瞞的もしくは検証不能な主張を含むもの、違法な商品もしくは役務を宣伝するもの、マルウェアもしくは悪意あるコードを含むもの、性的に露骨な内容を含むもの、当社が禁止カテゴリーとして指定する事項に関するもの、または真正な発表を行うためではなく、主として被リンクの獲得、検索エンジンの順位操作もしくは自動生成コンテンツの量産を目的として投稿されるものを投稿してはなりません。
6.6 配信事業者がエンバーゴを希望する場合、その日時を明確かつ目立つ形で記載するものとします。当社は、登録メディアその他の第三者がエンバーゴを遵守することを保証せず、遵守されなかったことについて一切の責任を負いません。
第7条 当社に付与されるライセンス
7.1 配信事業者は、プレスリリースを投稿することにより、当社に対し、本サービスおよびAPOC Wireの運営、維持および宣伝の目的で、当該プレスリリースをホスティング、保存、複製、キャッシュ、改変(サイズ変更、フォーマット変更、抜粋および機械翻訳を含みます)、公開、表示、配信、シンジケートその他の方法で利用するための、全世界、非独占的、無償、完全対価支払済み、再許諾可能かつ譲渡可能なライセンスを付与します。
7.2 配信事業者は、公開コンテンツがインターネット上で公に利用可能とされること、および当社が、検索エンジン、ニュースアグリゲーター、アーカイブサービスならびに人工知能・大規模言語モデル提供事業者が運用するものを含む自動クローラーによる公開コンテンツへのアクセスを許容し、これを妨げる措置を講じないことを了解し、同意します。 公開コンテンツは、これらの第三者により、インデックス化、キャッシュ、検索結果およびAI生成回答における再現、要約、翻訳ならびに引用がなされる可能性があります。当社は、これら第三者の行為を制御することができず、これについて一切の責任を負いません。
7.3 第7.1条のライセンスは、本サービスが連続的かつ信頼性のある公開アーカイブを維持し、公開コンテンツへの第三者のリンクおよび引用が有効に保たれるようにするため、配信事業者のアカウント終了後も公開コンテンツについて存続します。第14.4条が適用されます。
7.4 配信事業者は、そのプレスリリースに係る知的財産権を保有します。本条のいかなる規定も所有権を移転するものではありません。
第8条 編集上の裁量
8.1 当社は、いかなるプレスリリースについても公開の義務を負いません。
8.2 当社は、その単独の裁量により、責任を負うことなく、事前の通知の有無および理由の開示の有無を問わず、プレスリリースを拒否し、遅延させ、書式・体裁について編集し、カテゴリーを設定・変更し、メタデータを追加・修正し、非公開とし、削除し、またはアーカイブすることができます。
8.3 当社は、公開コンテンツに関連して、当該素材が配信事業者により投稿されたものであり、当社自身の報道または当社による推奨を構成しない旨の表示を行うことができます。
8.4 当社が行う審査、スクリーニングまたは承認は、本サービスの運営管理のみを目的とするものです。これらは、プレスリリースの真実性の検証、ファクトチェックまたは推奨を構成するものではなく、何人もこれらをそのようなものとして信頼してはなりません。
第9条 メディア一覧
9.1 登録メディアは、その登録が承認された場合、以下の情報がメディア一覧に掲載され、一般公衆、検索エンジンおよび自動クローラーがアクセス可能となることに同意します:媒体名、媒体のウェブサイトURL、媒体のカバー領域および取扱テーマ、ならびに登録メディアが提供した場合は媒体のロゴおよび簡潔な説明。
9.2 以下の情報はメディア一覧に掲載されません:登録メディアの個別の連絡先(メールアドレス、電話番号、メッセージングID および住所を含みます)ならびに個々のジャーナリストの氏名。 これらの情報は当社が保有し、プライバシーポリシーならびに第11条および第12条に従って利用されます。
9.3 登録メディアは、その名称、URLおよびロゴを含め、第9.1条に定める掲載を許諾する権限を有することを表明し保証します。
9.4 当社は、登録メディアが活動していない場合、再審査を通過できない場合、発行を停止した場合または本規約に違反した場合を含め、いつでもメディア一覧における登録内容を変更、停止または削除することができます。
9.5 メディア一覧への掲載は、当社による当該登録メディア、その編集方針もしくは報道内容の推奨を構成するものではなく、また当該登録メディアによる当社、本サービスもしくは配信事業者の推奨を構成するものでもありません。
第10条 限定素材
10.1 限定素材へのアクセスは、承認済みかつ有効なアカウントを保有する登録メディアおよび当社に限定されます。
10.2 登録メディアは、限定素材を、報道またはエディトリアルコンテンツの検討、準備および制作の目的にのみ使用するものとします。
10.3 登録メディアは、(a) 限定素材そのものの再配布、再販売、再許諾または公開掲載、(b) アカウント認証情報の共有その他権限のない者による限定素材へのアクセスを可能にする行為、(c) 報道に関連しない広告、宣伝または商業目的での限定素材の使用、(d) 自動的手段による限定素材の一括ダウンロードまたは組織的な抽出を行ってはなりません。
10.4 限定素材は、当社ではなく配信事業者が提供するものです。 メディアキットに含まれる画像、映像その他の素材の利用許諾は、配信事業者がその定める条件により付与します。登録メディアは、権利、許諾、利用範囲または正確性に関する問題については、当該配信事業者と直接やり取りするものとします。
10.5 当社は、限定素材の正確性、完全性、最新性または権利処理について、いかなる表明または保証も行いません。
10.6 配信事業者が限定素材を秘密として、またはエンバーゴの対象として指定した場合、登録メディアはこれに従うものとします。
10.7 当社は、限定素材へのアクセスおよびダウンロードを記録、監視および監査することができ、不正利用が合理的に疑われる場合はアクセスを停止することができます。
第11条 ダイレクト送付機能(実装予定)
11.1 当社は、配信事業者が、メディア一覧から選択した1または複数の登録メディアに対し、プレスリリース、限定素材または関連情報を直接送付するよう請求できる機能(以下「ダイレクト送付機能」)の実装を予定しています。
11.2 各登録メディアは、ダイレクト送付機能の運用に同意し、本サービスに登録した連絡先において当該送付を受領することに同意します。 本同意は、登録メディアの登録の一部として、かつ登録の条件として行われるものです。
11.3 登録メディアの個別の連絡先は、配信事業者に開示されません。 当社が配信事業者に代わって送付の中継を行います。当社は、送付が行われた事実、および技術的に可能な場合には、メッセージが開封されたか否か等の集計的または個別の送付ステータスを、配信事業者に通知することがあります。
11.4 当社は、ダイレクト送付機能の提供開始前に、その運用内容の説明とともに、電子メールまたは本サービス上で登録メディアに通知します。
11.5 登録メディアは、いつでもダイレクト送付機能の適用を除外(オプトアウト)することができます。 全部を除外することも、カテゴリー、テーマ領域または配信事業者ごとに除外することもでき、アカウント設定または当社への連絡により行います。オプトアウトは、本規約に基づく登録メディアの他の権利、メディア一覧への掲載、および限定素材へのアクセスに影響を与えません。
11.6 当社は、送付の数量、頻度、形式および内容に関する制限を設定・変更することができ、配信事業者がダイレクト送付機能を利用する前提として条件を課すことができ、また、いつでもダイレクト送付機能または特定の配信事業者による利用を停止もしくは終了することができます。
11.7 ダイレクト送付機能により送付される内容は、配信事業者が投稿した情報です。当社は、当該情報について推奨も検証も行わず、責任を負いません。 送付の結果として配信事業者と登録メディアとの間に生じる関係は、両者間の事項です。
11.8 送付を受領した登録メディアは、これを閲読し、返信し、報道し、または受領を確認する義務を負いません。
第12条 宣伝および事例(ケーススタディ)としての利用
12.1 ライセンス。 各利用者は、当社に対し、第12.3条に定める目的のために、以下を使用、複製、公表、表示、頒布、翻訳および改変するための、全世界、非独占的、無償、完全対価支払済み、永続的、取消不能、再許諾可能かつ譲渡可能なライセンスを付与します。
(a) 利用者の名称、商号、ブランド名、媒体名、ロゴ、標章その他の識別標識
(b) 登録メディアの場合、これに所属し本サービスに登録または通知されたジャーナリストの氏名および肩書
(c) 公開コンテンツ、およびこれを表示する本サービスのスクリーンショットまたは画面録画
(d) 配信したプレスリリースの件数、利用したカテゴリー、利用期間など、利用者による本サービスの利用に関する事実情報
12.2 呼称。 当社は、(a) 配信事業者を「利用企業」(Client Company)、(b) 登録メディアを「利用メディア」(Participating Media/合作媒體)、(c) ジャーナリストを「利用ジャーナリスト」(Participating Journalist/合作記者)と表示し、記述することができます。
12.3 目的および媒体。 第12.1条のライセンスは、本サービス、APOC Wireおよび当社の他の商品・サービスについて、説明、宣伝、マーケティングおよび実績の証跡とする目的で付与され、当社ウェブサイト、営業・マーケティング資料、プレゼンテーションおよび提案書、事例集、プレスリリース、ソーシャルメディアアカウント、広告、出版物、表彰・認定への応募書類、ならびに投資家、金融機関および事業パートナーに提供する資料を含む、現在知られているかまたは将来開発されるあらゆる媒体において行使することができます。
12.4 事前承認の不要;無報酬。 当社は、本条により許諾される個別の利用について、利用者の事前の承認を得る必要はありません。当該利用に関し、利用者に対して費用、ロイヤルティ、収益分配その他の対価は一切発生せず、また支払われません。
12.5 事実の記載に限定;推奨の非含意。 本条に基づく利用は、利用者が本サービスに登録し、これを利用し、またはこれに参加しているという事実の記載または表示に限られます。当社は、当該事実の記載を超えて、利用者が当社の他の商品・サービスを推奨または推薦している旨を述べ、または示唆してはならず、利用者の個別の書面による同意なく、いかなる発言、引用または推薦の言葉も利用者に帰属させてはなりません。
12.6 ジャーナリストの同意。 登録メディアは、本条に定める利用について、本サービスに氏名、肩書または画像を登録もしくは通知した各ジャーナリストから、適用法令(個人情報保護法令を含みます)上必要なすべての同意および授権を取得しており、当該情報が登録されている限りこれを維持することを表明し保証します。登録メディアは、当該同意の不存在、無効または撤回に起因して生じた請求、損失、責任または費用について、当社を補償し、免責するものとします。
12.7 撤回は将来効のみ。 利用者は、いつでも書面により、当該請求の日以後に作成される資料において自己の名称、標章その他の識別標識の使用を中止するよう当社に請求することができ、当社は商業上合理的な努力をもって合理的な期間内にこれに応じるものとします。ただし当社は、既に制作、公表、印刷、放送、頒布もしくは提供された資料、第三者が保有するその複製物、またはそれらのアーカイブ版、キャッシュ版、インデックス版もしくは転載版について、撤回、回収、修正、削除または破棄する義務を負いません。
12.8 存続。 本条は、本規約の終了後、および利用者のアカウントが理由の如何を問わず削除、停止または終了された後も、なお有効に存続します。
12.9 対価であることの確認。 各利用者は、本条に基づき付与されるライセンスが当社による本サービスの無償提供の対価の一部を構成すること、当社が本条を前提として本サービスを無償で提供することを決定したこと、および本条が存しなければ当社は本サービスを無償で提供しないことを了解し、これに同意します。
第13条 禁止行為
13.1 利用者は、以下の行為を行ってはならず、第三者に行わせてもなりません:(a) 適用される法令に違反して本サービスを利用すること、(b) 他人もしくは他の組織になりすまし、または所属を偽ること、(c) 実在しない媒体または実際に編集活動を行っていない媒体を登録すること、(d) 本サービス、そのサーバーまたはネットワークを妨害し、または混乱させること、(e) 権限のない限定素材を含め、本サービスのいずれかの部分への不正アクセスを試みること、(f) 当社の事前の書面による同意なく、本サービスの脆弱性を探索、スキャンまたはテストすること、(g) 公開された仕様のインターフェース、または当社のrobots指示に従って動作する通常の検索エンジンクローラー以外の方法により、本サービスからデータをスクレイピング、クロールまたは組織的に抽出すること、(h) 本サービスの一部をリバースエンジニアリング、逆コンパイルまたは逆アセンブルすること、(i) 本サービスを利用して未承諾の商業的通信を送信すること、(j) 本サービスへのアクセス権を再販売、再許諾または商業的に利用すること、(k) 当社または本サービスの信用を毀損し、または毀損するおそれのある方法で本サービスを利用すること。
13.2 当社は、本条違反の疑いについて調査を行うことができ、停止、終了、コンテンツの削除、法執行機関その他の当局への開示を含め、適切と判断する措置を講じることができます。
第14条 停止・終了および公開アーカイブ
14.1 利用者は、いつでも本サービス上または当社への連絡によりアカウントを閉鎖することができます。
14.2 当社は、(a) 利用者が本規約に違反した場合、(b) 詐欺、濫用または違法行為が合理的に疑われる場合、(c) 法令または権限ある当局により求められた場合、(d) その他の理由がある場合(合理的な事前通知を行います)には、いつでも利用者のアカウントを停止もしくは終了し、または本サービスの一部へのアクセスを制限することができます。
14.3 終了により、利用者の本サービスへのアクセス権は消滅します。第7条、第12条、第14.4条、第16条、第17条、第18条、第21条および第23条は、終了後も存続します。
14.4 公開アーカイブ。 当社は、公開アーカイブの完全性および連続性、ならびに公開コンテンツへの第三者のリンクおよび引用の有効性を維持するため、当該配信事業者のアカウント終了後も、公開コンテンツを引き続き公開することができます(ただしその義務を負いません)。配信事業者は特定の公開コンテンツの削除を請求することができ、当社はアーカイブの連続性に関する公共の利益を考慮しつつ、当該請求を誠実に検討します。ただし、適用法令により求められる範囲を除き、当社はこれに応じる義務を負いません。 当社が公開コンテンツを削除する場合であっても、第三者が保有する複製物、キャッシュ、インデックスまたは再現物を削除する義務を負わず、またその能力も有しません。
第15条 保証の否認
15.1 本サービスは「現状有姿」かつ「提供可能な範囲」で提供され、明示・黙示・法定を問わず、いかなる保証も付されません。 商品性、特定目的適合性、権原、正確性または非侵害に関する黙示の保証を含みます。
15.2 当社は、本サービスが中断されないこと、適時であること、安全であることもしくはエラーがないこと、または不具合が修正されることを保証しません。
15.3 当社は、プレスリリースが公開されること、検索エンジンにインデックスされること、特定の順位を得ること、登録メディアその他のメディア組織に送付され、閲読されもしくは報道されること、またはトラフィック、報道、問い合わせもしくは事業上の成果を生じさせることについて、いかなる保証も表明も行いません。
15.4 当社は、配信事業者と登録メディアとの間、または利用者と第三者との間の関係、合意、連絡または紛争の当事者ではなく、これらについて一切の責任を負いません。
15.5 プレスリリースおよび限定素材は利用者が作成したコンテンツです。当社はこれらを作成、検証または推奨するものではなく、法律上許容される最大限の範囲でこれらに起因する一切の責任を負いません。
第16条 責任の制限
16.1 適用法令が許容する最大限の範囲において、当社は、本サービスまたは本規約に起因もしくは関連して生じた間接損害、付随的損害、特別損害、結果的損害、懲罰的損害、または逸失利益、収益、データ、のれん、信用、事業機会もしくは節約見込額の喪失について、契約、不法行為、過失、無過失責任その他の法理に基づくかを問わず、また当社が当該損害の可能性を知らされていたか否かを問わず、責任を負いません。
16.2 適用法令が許容する最大限の範囲において、本サービスまたは本規約に起因もしくは関連する一切の請求についての当社の利用者に対する累積的責任は、(a) 金1万円(JPY 10,000)および (b) 当該請求の原因事実発生前12か月間に当該利用者が本サービスに関して当社に実際に支払った金額の合計額のいずれか高い方を超えないものとします。利用者は、本サービスが無償で提供されることに鑑み、(b)の金額が零となることが見込まれることを了解します。
16.3 本規約のいかなる規定も、当社の故意または重過失に基づく責任、その他法律上排除または制限することができない責任を排除または制限するものではありません。
16.4 本条の制限は、当事者間のリスク配分を反映するものであり、本サービスが無償で提供されるという事実に照らし、本契約の基礎をなす本質的要素です。
第17条 補償(インデムニティ)
17.1 各利用者は、(a) 利用者が投稿したプレスリリース、限定素材その他のコンテンツ、(b) 利用者による本規約またはこれに基づく表明・保証の違反、(c) 利用者による適用法令の違反または第三者の権利の侵害、(d) 第6.4条および第12.6条を含め、利用者が取得すべき同意の不存在、無効または撤回、(e) 利用者による限定素材の使用に起因または関連して生じた請求、要求、訴訟、手続、損失、責任、損害、制裁金、費用および経費(合理的な弁護士費用を含みます)について、当社ならびにその役員、従業員、代理人、関係会社およびライセンシーを補償し、防御し、免責するものとします。
17.2 当社は、本条が適用される請求について利用者に通知するものとし、当社の選択により自らの費用で防御に参加することができます。利用者は、当社の事前の書面による同意なく、当社に義務または自認を課す形で請求を和解してはなりません。
第18条 個人情報
18.1 本サービスに関連する個人情報の取得、利用、保管、開示および国際移転については、本規約の不可分の一部を構成するプライバシーポリシーに定めるとおりです。
18.2 各利用者は、本サービスに提供し、または本サービスを通じて取得する個人情報に関し、タイの個人情報保護法(Personal Data Protection Act B.E. 2562)および日本の個人情報の保護に関する法律を含む、適用されるすべての個人情報保護法令を遵守するものとします。
18.3 登録メディアがジャーナリストを本サービスに登録または通知する場合、当該ジャーナリストに対し、その個人情報の取得および利用に関して適用法令が求める事項を通知し、必要な同意を取得するものとします。
第19条 本サービスおよび本規約の変更
19.1 当社は、通知の有無を問わず、いつでも本サービスまたはその一部を変更、追加、停止または終了することができます。
19.2 当社は、本規約を変更することができます。変更が重要なものである場合、当社は、本サービス上での掲示または利用者が登録したアドレス宛の電子メールにより、少なくとも14日前に事前通知を行います。
19.3 変更の効力発生後に本サービスの利用を継続した場合、変更後の規約に同意したものとみなされます。 変更に同意しない利用者は、変更の効力発生前に本サービスの利用を中止し、アカウントを閉鎖するものとします。
19.4 変更は、変更の効力発生前に投稿された素材または行われた利用に関して第7条および第12条に基づき付与されたライセンスに影響を与えません。
第20条 譲渡
20.1 利用者は、当社の事前の書面による同意なく、本規約上の権利または義務を譲渡、移転または委託することはできません。
20.2 当社は、本規約の全部または一部を、関係会社に対し、または合併、買収、会社分割・組織再編、もしくは資産の全部・実質的全部もしくは本サービスに係る事業の譲渡に関連して承継人に対し、譲渡または移転することができ、また第7条および第12条に基づき付与されたライセンスを当該者に再許諾または譲渡することができます。
第21条 準拠法および裁判管轄
21.1 本規約および本規約に起因または関連して生じる紛争または請求(非契約上の紛争および請求を含みます)は、日本法を準拠法とし、日本法に従って解釈されます。国際私法の規定は適用されません。
21.2 本規約または本サービスに起因または関連して生じる紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
21.3 第21.2条は、合意により排除することができない、利用者の設立地または居住地の法律上の強行規定による保護を利用者から奪うものではありません。
第22条 言語
22.1 本規約は英語により作成されます。各英語条項の下に記載されるタイ語および日本語の本文は、利用者の便宜のために提供される翻訳です。
22.2 英語本文と翻訳との間に不一致、曖昧さまたは矛盾がある場合、英語本文が優先します。 ただし、適用される強行法規が別段の定めをする場合はこの限りではありません。
22.3 当社に対する通知、請求および連絡は、英語、タイ語または日本語で行うことができます。
第23条 一般条項
23.1 可分性。 本規約のいずれかの条項が無効、違法または執行不能と判断された場合、当該条項は執行可能とするために必要な最小限の範囲で修正され、それが不可能な場合は分離されるものとし、残余の条項は完全に有効に存続します。
23.2 権利放棄の否定。 当社が権利を行使せず、またはその行使を遅延したことは、当該権利の放棄を構成しません。
23.3 代理関係の否定。 本規約のいかなる規定も、当社と利用者との間に代理、組合、合弁、信託または雇用の関係を生じさせるものではありません。
23.4 完全合意。 本規約は、プライバシーポリシーおよび本サービス内で提示される追加条件とあわせて、本サービスに関する当社と各利用者との間の完全な合意を構成し、従前のすべての了解に優先します。
23.5 不可抗力。 当社は、天災、感染症の流行、戦争、内乱、労働争議、政府の行為、電気通信・ホスティングもしくは第三者サービスの障害、またはサイバー攻撃など、当社の合理的支配を超える事由に起因する履行の不能または遅延について、責任を負いません。
23.6 通知。 利用者に対する通知は、利用者が登録したアドレス宛の電子メールまたは本サービス内での掲示により行うことができ、発信または掲示の日に到達したものとみなされます。当社に対する通知は、下記の連絡先宛に行うものとします。
23.7 見出し。 見出しは便宜のためのものであり、解釈に影響を与えません。
23.8 第三者。 当社および利用者以外の者は、本規約のいかなる条項も行使する権利を有しません。ただし、当社の役員、従業員、関係会社およびライセンシーは、第12条、第15条、第16条および第17条を行使することができます。
